Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Infitar IT Solutions website and any consulting, development, integration, migration, or support services we provide (the "Services").

By accessing our website, requesting a quote, or engaging us for any Service, you agree to be bound by these Terms. If you are agreeing on behalf of a company, you confirm you have the authority to do so.

02

Services We Provide

Infitar IT Solutions is a Zoho Authorized Partner offering Zoho CRM customization, integrations, data migration, consulting, training, and related web development services.

The exact scope, deliverables, timeline, and price for any engagement are agreed separately in a quote, proposal, or statement of work before work begins. These Terms apply alongside that agreement; where the two conflict, the specific agreement governs.

03

Client Responsibilities

You agree to provide timely access, accurate information, and any credentials, sample data, or feedback reasonably needed for us to deliver the Service.

Delays in providing access or feedback may extend the project timeline. You remain responsible for the accuracy and legality of any data you ask us to import, migrate, or process on your behalf.

04

Fees & Payment

Fees are set out in the applicable quote or invoice and are due on the terms stated there. Unless otherwise agreed, work may pause if payment is significantly overdue.

Quoted fees do not include third-party costs such as Zoho subscription licenses, unless explicitly stated. You are responsible for maintaining your own Zoho subscriptions and any associated costs.

05

Intellectual Property

Upon full payment, custom deliverables built specifically for your project (such as bespoke Deluge scripts, Creator widgets, or configuration files) become yours to use for your business.

We retain ownership of our own pre-existing tools, frameworks, templates, and general know-how used to build your solution, and may reuse non-client-specific components in future work.

Zoho's own platform, applications, and trademarks remain the property of Zoho Corporation and are governed by Zoho's own terms.

06

Confidentiality

We treat information shared during an engagement, including business data, credentials, and CRM configurations, as confidential and use it only to deliver the agreed Service.

We do not share your business data with third parties except where necessary to deliver the Service (for example, Zoho's own platform) or where required by law.

07

Warranties & Disclaimers

We provide our Services with reasonable skill and care, consistent with standard practice for Zoho CRM consulting and development work.

Services are provided on an "as is" and "as available" basis. We do not guarantee that any customization, integration, or migration will be completely free of defects, or that the Zoho platform itself will be free of interruptions, since it is operated by Zoho Corporation and outside our control.

08

Limitation of Liability

To the extent permitted by law, Infitar IT Solutions' total liability arising from any engagement is limited to the fees paid for the specific Service giving rise to the claim.

We are not liable for indirect, incidental, or consequential losses, including lost profits or lost data, except where such liability cannot be excluded under applicable law.

09

Termination

Either party may end an ongoing engagement with reasonable written notice. You remain responsible for fees for work completed up to the termination date.

We reserve the right to suspend or decline Services where payment is significantly overdue or where continuing would require us to act unlawfully.

10

Third-Party Platforms

Our Services are frequently built on or integrate with Zoho's suite of products (CRM, Creator, Mail, WorkDrive, and others). Your use of those platforms is separately governed by Zoho's own terms of service and privacy policy.

We are not responsible for outages, pricing changes, or feature changes made by Zoho or any other third-party platform we integrate with.

11

Governing Law

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Any dispute arising from these Terms or our Services will be subject to the courts of Chattogram, Bangladesh, unless otherwise agreed in writing for a specific engagement.

12

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. The "last updated" date at the top of this page always reflects the most recent revision. Continued use of our Services after a change constitutes acceptance of the updated Terms.
